By purchasing a registration and participating in a Prosci program, you acknowledge that you have read, understood, and agree to comply with these Terms and Conditions.
Section 1. Risk, Liability and Indemnification
1.1. Assumption of Risk. In consideration for participating in Prosci’s program (the “Event”) and to the greatest extent permitted by law, you assume all risks associated with participating in the Event (whether conducted in person or virtually, including any associated travel, social, or networking components), including any personal injury, property loss, or other unforeseen circumstance.
1.2. Release of Liability. You hereby release Prosci, Inc., its employees, consultants, insurance carriers, officers, directors, representatives, and agents (hereinafter the “Released Parties”) from all liability for any loss, damage, or claim arising directly or indirectly from your participation in the Event, including claims based on negligence or breach of warranty
1.3. To the fullest extent permitted by law, you agree to indemnify and hold harmless the Released Parties from all claims, including those of a third party, and agree not to commence or support any claim against the Released Parties related to participation in the Event.
1.4 Defense Costs & Optional Activities. You further agree to pay all costs, including attorney’s fees, incurred by any Released Party in defending a claim or suit brought by you or on your behalf. Participation in any optional activities beyond the Event (social, physical, or off-site) is voluntary and not required for certification.
Section 2. Cancellation and Transfer Policy
2.1. Transfers After Payment. If a cancellation/transferring notice is received after payment has been made and registration confirmed, the program fee is non-refundable and can be transferred to a subsequent session within 12-weeks. The transfer is subject to a 15% change fee of the full value of your program.
2.2. Late Cancellation or Transfer (≤ 14 Days Before Program). If cancellation/transferring notice is received 14 calendar days or less before the program start date, 50% of the funds paid is non-refundable. If you opt to move to another session, you are required to pay an additional 50% as a transfer fee. This transfer invoice must be settled before you attend the new date. Your rescheduled session must occur within eight (8) weeks of your original session. Only one transfer per registration is permitted.
2.3. Cancellation or Transfer After Program Start. If cancellation/transferring notice is received after the program has commenced, the program fee is non-refundable, and 50% can be transferred to a subsequent session, with a 50% invoice issued and paid before confirmation of your new date. Your new program date must fall within two (2) weeks of your original session. No further program moves will be allowed.
2.4. Submission of Requests. All cancellation or transfer requests must be sent to Prosci electronically at register_anz@prosci.com.
2.5. Program Changes by Prosci. Prosci reserves the right to alter, postpone, or cancel your program due to unforeseen circumstances (e.g., illness, low enrolment, venue unavailability). In such cases, you will be offered a transfer to an equivalent future program at no additional cost.
Section 3. Attendance Policy
3.1. Illness or Mandatory Isolation. If you cannot attend your scheduled session due to illness or mandatory isolation, you must provide a medical certificate from a registered healthcare provider to: register_anz@prosci.com . Upon receipt, you must reschedule within 14 days of being cleared to attend. Exceptional circumstances may be considered at Prosci’s discretion. Failure to provide medical proof will result in application of the Cancellation and Transfer Policy.
Section 4. Discounts
4.1. Team Discounts. The only price discount Prosci provides is the Team Discount for the 3-day Certification Program, which is applicable for groups of 2-5 people registering simultaneously for the same program. Each person on the team will receive a $500 discount.
4.2. Application for Team Discount. You can apply for the Team Discount one of two ways: 1) If registering simultaneously, the discount will be automatically applied at checkout, or 2) If registering separately, the first person to register will pay the full program fee and receive a discount code for each subsequent colleague to use at checkout.
4.3. Discount Rules. Discounts cannot be combined with other offers and apply only to program fees (not add-ons). Prosci reserves the right to accept, change, discontinue, or cancel the team discount with limited notice.
4.4. Discount Codes. If Prosci has issued you a discount code (e.g., one-off offer), you must use this code at checkout. Discount codes must be applied before their expiry date and cannot be applied retrospectively. Prosci reserves the right to accept, change, discontinue, or cancel discount codes with limited notice.
Section 5. Pricing and Payment
5.1. Currency and GST. Australia: All prices listed and quoted are in Australian Dollars (AUD) and include 10% GST. New Zealand: All prices listed and quoted are in New Zealand Dollars (NZD) and include 15% GST. Customers outside Australia and New Zealand: You may be eligible for a GST-free invoice if your company is registered for GST/VAT in your home country. Please contact us at register_anz@prosci.com before payment to request a GST-free invoice in AUD.
5.2. Payment Terms. By engaging in any transaction with Prosci, you agree to comply with the following financial obligations:
5.2.1. Payment Due Dates: All invoices must be paid in full within the agreed-upon terms specified on the invoice or contract, and no later than seven (7) days prior to the commencement of the applicable program, workshop, webinar, or service.
5.2.2. Debt Recovery: In the event of late or non-payment, the client agrees to cover all reasonable costs associated with debt recovery, including legal fees and court expenses.
5.2.3. Interest on Overdue Amounts: Prosci reserves the right to charge interest on overdue balances at a rate permitted by law (typically 2% per month) and to reallocate any unpaid program seat to another participant.
5.2.4. Billing Disputes: Any dispute regarding an invoice must be submitted in writing within seven (7) days of receipt. After this period, all charges are considered final and binding.
5.3. Flexible Payment Options.
5.3.1. Maximum Instalment Limit: Unless otherwise agreed in a separate written financial arrangement signed by both parties, all Prosci invoices are subject to a maximum of four (4) total instalments. Participants and/or Client Organisations may not divide any single invoice or total project cost into more than four payments.
5.3.2. Payment Before Delivery: The full invoice amount must be paid and cleared prior to the commencement of any Prosci service, workshop, training, or program. Access to course materials, digital toolkits, or participation in the event will not be granted until full payment has been received and confirmed. See below for Purchase Order Terms and Conditions.
5.3.3. Cancellation and Refund Policy: All payments made, including deposits and instalments, are non-refundable and subject to the terms outlined in Prosci’s Cancellation and Transfer Policy.
5.3.4. Purchase Orders: Purchase Orders may be accepted as a provisional payment arrangement only when accompanied by 1) A PDF copy of the official Purchase Order; and 2) Written confirmation of the intended payment date. Purchase Orders do not constitute payment until full funds have been received and cleared by Prosci. Completion of your program will not be recognised until full payment has been received.
5.4. Payments Methods. Prosci permits up to two payment methods per invoice (e.g., credit card and/or bank transfer). Multiple invoices are not permitted for a single order. Each order must be invoiced and paid in full under one consolidated invoice.
5.4.1. Payment By Phone. For security and compliance purposes, Prosci will not process payments by telephone. A secure online payment link will be made available upon request.
Section 6. Email Communications
6.1. Consent to Communications. By registering for this program, you agree that Prosci may contact you with information and marketing material at the email you have provided. Operational communications (such as payment reminders, pre-work reminders, logistics, mailing list updates, or access information) are mandatory to ensure participation. You may unsubscribe from marketing communications at any time.
6.2. Mailing Lists and Waitlists. Mailing lists are used to communicate updates if your preferred program or date is not currently visible on the website. If your preferred program date is full, please register for your next preference. Prosci will add you to the waitlist for your preferred program and will notify you by email if a seat becomes available. A waitlisted transfer to your preferred program does not have an additional fee.
Section 7. Privacy Policy
7.1. Know your data privacy rights. By agreeing to these terms and conditions, you acknowledge your consent to Prosci’s collection and use of all information you provide in accordance with Prosci’s Privacy Policy. Your data may be stored or processed securely outside of Australia and New Zealand in compliance with the Australian Privacy Principles and the New Zealand Privacy Act. Prosci may record or photograph sessions for external marketing or internal training and quality purposes. You may opt out by advising the facilitator prior to program commencement. Prosci does not permit recording of any session under any circumstances.
Section 8. Governing Law and Jurisdiction
8.1. Choice of Law. For programs delivered in Australia or virtually to participants in Australia, these Terms are governed by Australian law and any disputes will be resolved exclusively in Australian courts. For programs delivered in New Zealand or virtually to participants in New Zealand, these Terms are governed by New Zealand law and any disputes will be resolved exclusively in New Zealand courts.
You may obtain a refund or exchange for any bookstore product within 30 days from the date of purchase. To be eligible for a return, your product must be unused, in good condition and include a receipt.
To return your product/s, advise us at bookstore@prosci.com and post your product/s to: Prosci, Building 1, Suite 5.01 Level 5, 191 O’Riordan Street, Mascot NSW 2020, Australia. You will be responsible for paying for your own postage costs for returning your item. Postage costs are non-refundable. We recommend using a traceable postage service or purchase postal insurance. Please do not send your product to Prosci Inc. in the USA.
Your refund will be processed within 10 days and your refund will be applied to your credit card or via EFT into your bank account, whichever was the original method of purchase.
We will replace items if they are defective or damaged, free of charge. Contact us at bookstore@prosci.com and post your product/s to: Building 1, Suite 5.01 Level 5, 191 O’Riordan Street, Mascot NSW 2020, Australia. We will cover the cost of the postage for the replacement item/s.
If you haven’t received an order, please contact us at bookstore@prosci.com. If we cannot locate the item within 14 days, we will replace it free of charge.
